Agreement Overview

These Terms of Service ("Terms") govern your use of QuoteBase's procurement automation platform. By accessing or using our services, you agree to be bound by these Terms.

Service Description

QuoteBase provides a cloud-based procurement automation platform (hosted on Vercel + Supabase) that enables businesses to:

  • Parse Excel files and auto-map columns to RFQ fields
  • Create multi-round RFQs with custom field definitions
  • Invite suppliers to mobile-optimized quote submission portal
  • Compare quotes across 3 modes: item-by-item, total amount, pack-based
  • Generate comparison PDFs and analytics dashboards
  • Access RESTful API with webhooks (Enterprise plan)
  • Multi-tenant organization management with RBAC
  • Secure data storage with Row Level Security (RLS)

Account Registration

Eligibility

  • You must be at least 18 years old to create an account
  • You must have legal authority to bind your organization
  • Accurate email, company name, and contact information required
  • Each organization should create one account (multi-user support via org_memberships)

Account Security

  • You are responsible for account security and all activities under your account
  • Use strong passwords and enable OAuth (Azure AD, Google, LinkedIn) when available
  • Notify hello@quotebase.io immediately of unauthorized access or breaches
  • Session tokens expire after inactivity (Supabase Auth security settings)

Subscription & Billing (via Paddle)

Pricing Plans

  • Free: $0/month - 3 RFQs, 5 suppliers, basic features
  • Starter: $69/month ($58/mo yearly) - Unlimited RFQs, 1 user, 1GB storage
  • Team: $199/month ($166/mo yearly) - Unlimited RFQs, 5 users, 7GB storage, API access
  • Enterprise: $499/month ($416/mo yearly) - SSO/SAML, dedicated support, SLA

Billing Terms

  • Monthly or annual billing (16% discount for annual plans)
  • Automatic renewal via Paddle unless cancelled 7 days before renewal
  • Pro-rated charges when upgrading mid-cycle
  • 14-day money-back guarantee for first-time subscribers

Cancellation

  • Cancel anytime via Dashboard → Settings → Billing
  • Access continues until end of paid period (no partial refunds)
  • Export all data within 30 days of cancellation (then permanently deleted)
  • Downgrade to Free plan instead of full cancellation to retain data

Payment Methods (Paddle)

  • Credit/debit cards (Visa, Mastercard, Amex) via Paddle Checkout
  • Invoice billing available for Enterprise plans (NET 30 terms)
  • Failed payments: 3 retry attempts, then account suspension until resolved
  • VAT/tax automatically calculated based on billing country

Acceptable Use Policy

Permitted Uses

  • Legitimate business procurement activities
  • Creating and managing RFQs for your organization
  • Communicating with authorized suppliers
  • Generating reports for internal business use

Prohibited Activities

  • Uploading malicious files or code
  • Attempting to breach security measures
  • Sharing your account credentials
  • Using the service for illegal activities
  • Reverse engineering our software
  • Spamming or harassing suppliers

Data Ownership & Privacy

Your Data Ownership

  • You retain full ownership of all RFQ data, supplier info, and uploaded files
  • We process data solely to provide services (no selling to third parties)
  • Export all data anytime via Dashboard → Settings → Export (JSON/CSV)
  • Permanent deletion 30 days after account closure (backups purged within 90 days)

Our Data Processing Responsibilities

  • Maintain Supabase RLS policies for multi-tenant data isolation
  • Automated daily backups with point-in-time recovery (Supabase)
  • GDPR, CCPA, KVKK compliance with DPAs available for Enterprise customers
  • Transparent subprocessor list: Supabase (database), Vercel (hosting), Paddle (billing), Resend (email), Umami (analytics), Upstash Redis (rate limiting), ExchangeRate API (FX rates), Sentry (error tracking)

Disclaimers & Limitations

Service Availability & SLA

We target 99.9% uptime (Vercel + Supabase infrastructure). Planned maintenance announced 48h in advance. Enterprise plans include SLA with uptime guarantees and credits for outages. Not liable for losses due to third-party infrastructure failures.

Limitation of Liability

Our total liability is limited to fees paid in the 12 months preceding the claim (minimum $100). We are NOT liable for:

  • Indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Supplier misconduct, quote inaccuracies, or failed negotiations
  • Force majeure (infrastructure outages, cyberattacks, natural disasters)

Account Termination

Termination by You

  • Cancel anytime through account settings
  • 30-day data export window
  • Immediate cessation of billing
  • No early termination fees

Termination by Us

  • Violation of terms or acceptable use
  • Non-payment of fees
  • Suspected fraudulent activity
  • 30-day notice for convenience termination

Governing Law & Disputes

Jurisdiction

These Terms are governed by the laws of the Republic of Turkey. Disputes will be resolved in İzmir Courts and Execution Offices (İzmir Adliyesi). For international customers, UNCITRAL arbitration rules may apply.

Dispute Resolution

Mandatory 30-day good faith negotiation before litigation. Enterprise customers may opt for binding arbitration. Small claims (<$10,000) can be filed in small claims court.

We may update these Terms to reflect changes in our services or legal requirements. Material changes will be communicated 30 days in advance via email and platform notification. Continued use constitutes acceptance of updated Terms.
